By accessing, installing, copying, or in any way using the Yala extension, you, the user, agree to be bound by these Terms & Conditions. If you do not agree with these Terms & Conditions, you are not authorized to install, copy, or use the Yala extension.

These Terms & Conditions constitute a legally binding agreement between you and Yala Tecnologia e Inovação. If you are installing or using the extension on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms, and “you” and “your” will refer to that entity.

The Yala extension is subject to and complies with all applicable laws and regulations, including but not limited to Brazil’s General Data Protection Law (LGPD) and Google’s extension policy for Google Sheets.

By using this extension, you agree that you have read, understood, and accepted all the terms and conditions contained herein, as well as any other applicable legal terms, privacy policies, guidelines, and notices you may encounter during your use of the extension.

If you do not agree with any part of these Terms & Conditions, you must not access or use the Yala extension. Please note that these Terms & Conditions may change from time to time, and it is your responsibility to check for updates regularly.

Yala reserves the right to modify, suspend, or discontinue the extension at any time, with or without notice to you, and Yala shall not be liable to you or any third party for any modification, suspension, or discontinuation of the extension.

By using the Yala extension, you agree to these Terms & Conditions in their entirety. If you do not agree to these terms or are not legally able to accept them, you may not access or use Yala.

These Terms & Conditions also incorporate by reference Yala’s Privacy Policy, which explains how we collect, use, and handle your personal data in compliance with Brazil’s General Data Protection Law (LGPD) and Google’s extension policies for Google Sheets. By using Yala, you also agree to and are bound by our Privacy Policy, so please read it carefully.

3. Description of the Service

Yala is an innovative extension for Google Sheets that integrates powerful language models, such as ChatGPT, directly into spreadsheets. It enables users to automate tasks, optimize processes, and improve team productivity by leveraging AI capabilities without the need for programming skills.

• Automated Workflows: Set up custom prompts to automate processes across various departments.

• Customizable Agents: Create and configure agents with specific roles suited to your business needs.

• Status Updates: Track task progress with real-time status updates within the spreadsheet.

• Event Automation: Set up actions triggered by AI responses to automate subsequent tasks.

• Information Security: All data remains within the user’s spreadsheet; Yala does not store any information externally.

It is important to note that Yala does not store or collect data from users’ spreadsheets, ensuring privacy and compliance with security policies.

Use of the extension is subject to these Terms & Conditions, as well as any privacy policies and other policies we may publish from time to time. By using the Yala extension, you agree to all these terms and assume responsibility for using the extension. It is your choice whether to use the extension and its available functions, in accordance with your needs and in full compliance with the terms specified herein.

4. Access to the Service and Conditions of Use

To access and use our solutions, you must first create an account using your Google Workspace (Gmail) email address. You represent and warrant that the information provided to create your account is true, accurate, and up to date.

All access and activities carried out via your login are your responsibility. This includes any data, information, or content generated, as well as any consequences arising from the use of such information. We therefore recommend that you protect your account details and ensure they are not accessible to third parties.

The Yala extension is a tool that may only be used for lawful purposes. You agree to use the extension in compliance with all applicable laws, regulations, and rules. Any unauthorized use or access of the service by you or anyone using your account that violates these conditions will result in the immediate termination of your authorization to use the service.

When installed and authorized by you, the extension will directly interact with the information provided in your Google Sheets spreadsheet for the purpose of integrating AI functionalities. Yala does not guarantee that the service will be uninterrupted, timely, secure, or error-free.

You agree not to transmit any worms, viruses, or any code of a destructive nature. Furthermore, you must not attempt to gain unauthorized access to servers or network systems connected to the extension.

We reserve the right to refuse access to the service, terminate accounts, or remove or edit content at our sole discretion.

Finally, you are responsible for obtaining and maintaining any equipment or auxiliary services necessary to connect, access, or use the solutions, including, without limitation, modems, hardware, software, internet service, and long-distance mobile phone service (each a “connection”). You are responsible for ensuring that such equipment or auxiliary services are compatible with the solutions.

5. Licenses and Intellectual Property

Yala’s solutions, including software, graphics, text, images, scripts, and other content provided or made available through our service, are the property of YouSendr Tecnologia e Marketing LTDA or its licensors and are protected by copyright laws, trademark laws, and intellectual property laws. We only grant you, the user, a limited, non-exclusive, non-transferable license to access and use Yala for your personal and/or commercial use according to the subscription plan you have purchased. Any commercialization, distribution, or exploitation of our services for other purposes is prohibited without our explicit consent.

By entering, uploading, or providing information or content to Yala, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform such information within the scope of operating and promoting our solutions.

You represent and warrant that you hold all necessary rights to the information or content you provide, and that such content does not infringe any third-party rights. Please note that any information or content you disclose through Yala may be viewed by other users; therefore, share it responsibly. Yala does not claim ownership of any data, information, or content you provide through our service.

6. Updates to the Terms and the Solutions

Yala is committed to ensuring that its extension is always in compliance with Google’s extension policies and adheres to the General Data Protection Law. We regularly implement improvements and changes to our solutions to better meet your needs and to remain compliant in an ever-evolving digital environment.

Therefore, Yala reserves the right to modify, suspend, or discontinue, temporarily or permanently, the solutions or any part thereof at any time and from time to time, without prior notice. You agree that Yala shall not be liable to you or any third party for any modification, suspension, or discontinuation of the solutions.

In addition to changes in our solutions, we may, from time to time, make changes to these Terms & Conditions. When significant changes are made, we will endeavor to notify all users about such modifications. We may do this via prominent notices in our solutions, via email, or through any other reasonable means.

If you do not agree with the new terms, you are free to reject them, but that means you will no longer be able to use our solutions. If you use our solutions in any way after a change to the Terms & Conditions becomes effective, it signifies that you agree to all the changes.

• Spam and Abuse: You agree not to use the extension to transmit spam or abusive content. You must not use our extension to disrupt or engage in any use that could harm its proper operation.

• Service Impact: You agree not to use the extension in a manner that overloads, disables, damages, or interferes with the servers or networks connected to the extension.

• Privacy Violation: You must not use the extension to search for, track, or harm another person in a way that violates their privacy. Use of the services must strictly comply with the General Data Protection Law and Google privacy policies.

• Prohibited Distribution and Commercialization: You are licensed to use the Yala extension for a single Google Workspace (Gmail) email, and its distribution or commercialization is forbidden.

Violation of any of these restrictions constitutes grounds for the immediate termination of your right to use the Yala extension and may result in legal liability for damages. If we believe your use of the service violates these terms, we may, at our discretion, terminate your account or take other corrective actions without prior notice.

9. User Rights and Obligations

Access to and use of our solutions—in this case, the Yala extension—grants you the right to personal, non-exclusive use. It is expressly prohibited to commercialize, distribute, or provide services to third parties based on this extension without prior written authorization from Yala.

Users must be aware and accept that automating tasks through Yala is indicative—not 100% error-proof—as it depends on several variables and configurations from Google Sheets’ servers.

Users have the right to use the extension to integrate AI functionalities into Google Sheets. Users must comply with all laws applicable to the use of the extension, including but not limited to privacy and data protection laws.

Users are responsible for the content entered or generated via the extension, ensuring that they have all the necessary rights and permissions for such data in compliance with applicable data protection laws.

Users must maintain the security of their Google accounts and are responsible for all activities carried out through their account. In the event of any suspected security breach, such as unauthorized account use, users must immediately notify Yala.

Users must not abuse the extension by performing excessive or mass automations or any activities that harm service performance, damage the infrastructure, or result in unfair use of the extension against its intended purpose.

Users also must not use the extension for illegal, fraudulent, malicious, or harmful purposes, or in a manner that violates third-party rights related to privacy, publicity, or intellectual property.

Yala reserves the right to terminate or suspend a user’s access to the extension if any of these rights and responsibilities are violated. In case of termination, cancellation, or suspension, the user’s right to use the extension ceases immediately.

10. User Responsibilities and Consent

Under these Terms & Conditions, you are responsible for:

1. Security of Account Information
   Ensuring the security and confidentiality of your Yala extension login information. You are solely responsible for all activities that occur under your account, whether by your actions or those of a third party who may access your account.

2. Appropriate Use
   Using the Yala extension appropriately and lawfully, in compliance with these Terms & Conditions, applicable legislation, morality, good conduct, public order, third-party rights, and Google’s extension policies for Google Sheets. You agree not to use the extension for fraudulent or illegal purposes or in any way that could damage the image, interests, or rights of Yala or third parties.

3. Accurate Information
   Providing true, accurate, and complete information when creating and using your account. You agree to keep your information updated.

4. Respect for Intellectual Property
   Not copying, distributing, modifying, reproducing, or transferring any content made available through the Yala extension. All intellectual property provided in the extension is the exclusive property of Yala.

5. Lawful Data Processing
   Only processing data that you are legally permitted to access and use.

By using the Yala extension, you consent to:

1. Data Handling
   The collection, processing, and storage of your personal data as described in our Privacy Policy.

2. Updates
   The implementation of updates and modifications to the Yala extension at Yala’s sole discretion, without prior notice.

3. Dispute Resolution
   The resolution of any disputes arising from or relating to the Yala extension as described in these Terms & Conditions.

11. Disclaimer of Warranties and Limitation of Liability

The Yala extension is provided on an “as is” and “as available” basis, without any kind of warranty, express or implied. Under no circumstances shall Yala be liable for any direct, indirect, incidental, special, or consequential damages of any kind, including but not limited to loss of use, loss of profits, or loss of data, arising out of or in any way related to the use of the Yala extension.

While Yala makes reasonable efforts to maintain service operation, we do not guarantee that the extension will be secure, error-free, timely, reliable, or operate without interruption. You acknowledge that your use of Yala is at your own risk.

Yala is not responsible for any decisions made based on the results provided by the extension or any actions taken based on those results. You are responsible for using the information provided appropriately and in compliance with all applicable laws and regulations.

To the fullest extent permitted by applicable law, Yala disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. To the fullest extent permitted by law, Yala, its processors, suppliers, and resellers shall not be liable for any indirect, special, incidental, punitive, exemplary, or consequential damages, or any loss of profit, revenue, data, or use, incurred by you or any third party, whether in an action in contract or tort, even if Yala has been advised of the possibility of such damages.

Nothing in these Terms & Conditions excludes or limits Yala’s liability for death or personal injury resulting from its negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.

These disclaimers and limitations of liability apply to the fullest extent permitted by law and survive any termination or expiration of these Terms & Conditions or your use of Yala.

12. Dispute Resolution, Governing Law, and Venue

Before initiating any legal proceeding against Yala, if you have any controversy, claim, question, or disagreement arising from or related to these Terms & Conditions or the solutions, we ask that you first attempt to resolve the dispute informally by contacting our customer support team at support@talkwithyala.com.

If it is not possible to resolve the dispute within a reasonable period—suggested as 30 days from the time Yala is notified of the dispute—you may proceed with formal legal procedures.

These Terms & Conditions and any dispute relating to these terms, the solutions, or Yala itself shall be governed by and construed in accordance with Brazilian law, without regard to any conflict of law provisions.

You agree that any legal proceeding arising out of or relating to these Terms & Conditions or the solutions will be resolved exclusively in the competent courts located in Curitiba, in the state of Paraná, Brazil. You agree to the personal jurisdiction of these courts and waive any objection regarding inconvenient forum.

For any dispute you have with Yala, you agree to first contact Yala and attempt to resolve the dispute informally. If Yala cannot resolve the dispute informally, each party agrees to resolve any claim, dispute, or controversy (excluding any claims by Yala seeking injunctive or other equitable relief) arising from or related to these terms through binding arbitration before the courts of the Judicial District of Curitiba, Paraná.

Notify us in writing of your intention to initiate legal action, specifying the nature of the dispute, your claims, and the relief sought.

13. Cancellation and Termination Policy

You may terminate your account and cancel the use of Yala’s solutions at any time. To do so, please contact us by emailing support@talkwithyala.com with the subject “Account Cancellation and Closure Request.” Your request will be processed, and you will receive a cancellation confirmation.

You are solely responsible for properly canceling your account. If you initiate the termination process, your account will be immediately deactivated, and all your information will be permanently deleted from our servers. After the cancellation process begins, it cannot be reversed, and the loss of information and data is irreversible.

Yala reserves the right to suspend or terminate your account and to deny current or future use of the solutions for any reason, including breach of these terms. Such termination will result in deactivation and/or deletion of your account or access to your account, including all content in your account.

If Yala terminates your access to the service before the end of the current payment period, our cancellation service will not refund any fees paid in advance, unless the cancellation is exercised within a relevant refund period.

We reserve the right to refuse service to anyone for any reason at any time.

14. Changes and Updates to the Service

Yala reserves the right, at any time, to modify, interrupt, discontinue, or disable—temporarily or permanently—the operations of the Yala extension or any functionality within it, with or without notice.

Continued use of the extension by you after modifications to its operation—whether in its functionalities or in these Terms & Conditions—will be deemed acceptance of the changes made.

Yala continually strives to improve the quality of the extension and its features to ensure the best possible experience for its users. Therefore, you agree that the form and nature of the extension and service that Yala offers may change from time to time, without prior notice to you.

We also emphasize that Yala may cease (permanently or temporarily) to provide the extension (or any feature within the extension) to you or to users in general, at Yala’s sole discretion, without prior notice.

We understand the importance of maintaining the extension for our users and ensuring its proper functioning, so we always work to avoid interruptions and keep users informed of any significant changes. We appreciate your understanding and cooperation.

• Steps to reproduce the issue;

• Information about the operating system version and web browser;

• Screenshots or videos illustrating the issue, if appropriate.

Please note that when contacting our support, users must always comply with our conduct guidelines and these Terms & Conditions. We reserve the right to suspend or terminate the provision of technical support to any user who disrupts our processes, misuses our support services, or fails to comply with these Terms & Conditions.

Yala also aims to provide online help documentation and informational resources within its solutions to assist with the proper use of the Yala extension.

16. Other Legal and General Considerations

These Terms & Conditions represent the entire understanding and agreement between you, as the user, and Yala Tecnologia e Inovação regarding your use of the Yala extension service.

You agree to comply with all local, state, national, and international laws applicable to the use of the Yala service. These Terms & Conditions will be governed by and construed in accordance with Brazilian law, without regard to conflicts of law principles.

These Terms & Conditions do not create any partnership, joint venture, employer-employee, agency, or franchisor-franchisee relationship between you and Yala.

If any provision of these Terms & Conditions is deemed invalid or unenforceable, that part will be interpreted in accordance with applicable law to reflect, as closely as possible, the original intent of the parties, and the remaining parts will remain in full force and effect.

If we do not exercise or enforce any right or provision of these Terms & Conditions, it shall not constitute a waiver of such right or provision.

You agree that, regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the use of Yala extensions or these Terms & Conditions must be filed within one (1) year after such claim or cause of action arose or be forever barred.

You assume full responsibility for using Yala solutions and agree to indemnify Yala, its directors, employees, and partners for any damages or losses that may occur as a result of using our service.

Section headings in these Terms & Conditions are provided solely for convenience and have no legal or contractual effect.
